TERMS OF USE (AND SITE)

Task Up provides affordable turn-key offices and dedicated desks. We pride ourselves in designing an eco-friendly and intimate business environment for collaborations. Our prices are affordable, terms are flexible, and amenities are beyond private phone booths, kitchenette, natural light and not to mention delicious snacks. We set the ambiance for a picture-perfect workday. By using our services and space, you agree to our Terms of Use referring to use of amenities, services and space, and Terms of Site of website and portal.

Terms of Use:

​

It’s important that you read it carefully to understand your rights and protections, as well as ours. We hope to be able to simplify these terms in the future. Please contact us at info@task-up.com if you have questions regarding this TOU.

1. Acceptance of Terms. The services Philly Office Share, LP DBA Task Up (“Task Up”) provides to you, the undersigned (including but not limited to use of office space and access to internet), are subject to the following Terms of Use (“TOU”). Task Up reserves the right to update the TOU at any time. Task Up will attempt to contact you to notify you of any updates within 30 days of their enactment using the contact information provided in the Membership Agreement.

2. Description of Services. Task Up may provide you with access to office space, work stations, internet access, office equipment, conference space, knowledge resources, and other services as Task Up may provide from time to time (collectively, “Services”). The Services at all times are subject to the TOU.

​

One-Time Guests, Base User or Non-Monthly Members Benefits and Services:

Use of space, amenities, services and portal are available to Guest (and Guests of Guest) making the reservations for one-time or short-term purpose.

  • Ability to request to book on Task Up calendar.

  • Limited access to space, from time to time, access may require unique passcode to enter and for re-entry until scheduled end of reservation.  

  • Access to shared amenities: common area, phone booth, guest wifi.

  • Limited on-site support where manager is available.

  • Limited off-site support where manager can be reached remotely.

Monthly Members Benefits and Services: Below are lists of some included features as per standard membership.​

Flex Desk Membership:

  • 24 hours access with unique access code.

  • Access to shared amenities: common area, phone booth, wifi

  • 1 free guest pass for your co-worker/friend, additional Day Pass: 50% off normal rate, must reserve in advanced for approval.

  • 1 Hour Booking Credit: minimum reservation is 1 hour per use, credit is applied at full rate towards Conference, Office J, Office K (rooms subject to change)

  • Print on Demand:

    • Black & White: 50 pages free, $0.25/page thereafter

    • Color: 20 pages free, $0.25/page.

  • 35% off towards hourly office/room reservations, minimum 1 hour per occurrence.

  • Option to add: to have exterior directory listing $50/month. (upon availability).

  • Option to add: Virtual Office at $50/month, unique mailing address included.

  • 30 days written cancellation notice required.

  • 1 month deposit is required at sign up.

  • Membership Pause Fee is $10/month, this is for portal use.

Private Office:

  • 24 hours access with unique access code

  • Access to shared amenities: common area, phone booth, wifi

  • Guest Passes – no extra charge as long as they fit into your office! Otherwise, 50% off Day Pass.

  • 4-hour free meeting room reservation per month, Minimum 1 hour reservation is required per occurrence. Eligible rooms: Conference, Office J, Office K (rooms subject to change)

  • 35% off towards hourly office/room reservations, minimum 1 hour per occurrence.

  • Designated mailing address is included

  • Virtual Office Service is included

  • External Directory display is included

  • Print on Demand:

    • Black & White: 50 pages free, $0.25/page thereafter

    • Color: 20 pages free, $0.25/page.

  • 30 days written cancellation notice required.

  • 1 month deposit is required at sign up.

Virtual Office Service Membership:

  • A standalone service or an add-on service to flex desk.

  • Mail pick-up during operating office hours. Appointment is highly recommended.

  • Assigned mailing address with virtual suite number or office number.

  • 1 Hour Booking Credit: minimum reservation is 1 hour per use, credit is applied at full rate towards Conference, Office J, Office K.

  • Mail forwarding service to your alternative address for additional charge.

    • USPS Mailbox Drop Off + original cost of postage: $3.00 + stamp(s) fee per occurrence.

    • USPS Post Office Mail Drop Off: $10 handling fee + postage cost per occurrence.

  • Hold packages over 1 LB for 72 hours (grace period); $10 per day additional after 3 business days grace period. (Max dimensions: 32”x32”x32” Max weight: 20 LB).

  • Digital mail forwarding service, scanning of mail content to your email: 30 pages included; $1/per page thereafter.

  • Print on Demand:

    • Black & White: 10 pages free, $0.25/page thereafter.

    • Color: $0.50/page.

  • Day Pass: 50% off normal rate, must reserve in advanced for approval.

  • 35% off towards hourly office/room reservations, minimum 1 hour per occurrence.

  • 30-day written cancellation notice required.

  • Option to add: to have exterior directory listing $30/month. (upon availability).

  • Membership Pause Fee is $10/month, this is for portal use.

  • Term Options: Month to Month $75/month, 3 Month Plan $210/quarter, 6 Month Plan $300/semi-annual, 12 Month Plan $500/annual.

​Service Commencement and Continuity:

Office Use, Payment, and Refund Policies must be adhere to to activate and continue services agreed on.​

  • Official Start Date: Official use of space and/or address is only permitted after first payment has been successfully cleared. NO EXCEPTIONS.​

  • Acceptable Payment Methods: Members may pay via AMEX, DISCOVER, VISA, MASTERCARD, CASHIER’S CHECK, ACH and limited BUSINESS CHECKS. We do not accept PERSONAL CHECKS.

  • Processing Schedule and Fees (Fees paid to merchant service provider)

    • ACH – allow up to 7 business days, 1% processing fee

    • Credit/Debit – allow up to 3 business days, 2.9% processing fee

    • Cashier’s Check – immediate, 0% processing fee

    • In-Sufficient Balance (Reversal) Fee – $15

    • Error Dispute Fee - $15​

  • Membership Renewal Payment Date (excludes Stand Alone Virtual Office Plans): All membership payments are due on the first day of each month otherwise indicated. Task Up reserves the right to charge late fees and/or withhold services if payments are not received on time. Any start of membership that does not fall on the first day of the month will be prorated. All membership will default to month to month unless amended agreement is drawn prior to initial agreement termination date.​

    • Virtual Office Renewal Payment Date: All virtual office memberships are renewed automatically based on most recent membership plan. If you select a 3-month plan, it’ll automatically renew the same plan.

  • Virtual Office Cancellation and Refund Policy: Refunds for cancellation for 3, 6 and 12 month plans will be retroactively calculated at a month-to-month value. For example, if you paid $210 for a 3-month plan and cancels your 3rd month, your refund will be $60 (not $70).​

  • Membership Deposit Refund Policy: Any applicable deposit refunds will be returned up to 14 business days approved termination of membership.

3. No Unlawful or Prohibited Use. As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Task Up server, or the network(s) connected to any Task Up server, or interfere with any other party’s use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, or accounts, computer systems or networks connected to any Task Up server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. You hereby represent and warrant that you have all requisite legal power and authority to enter into and abide by the terms and conditions of this TOU and no further authorization or approval is necessary. You further represent and warrant that your participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement or other instrument or obligation to which you are a party.

4. Use of services. You agree that when participating in or using the Services, you will not:

  • Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited message (commercial or otherwise);

  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of    privacy and publicity) of others;

  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through Task Up Services;

  • Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same;

  • Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;

  • Upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another;

  • Download any file(s) that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner;

  • Restrict or inhibit any other user from using and enjoying the Services;

  • Violate any code of conduct of other guidelines which may be applicable for any particular Service (including the Community Guidelines).

  • Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;

  • Violate any applicable laws or regulations; and

  • Create a false identity for the purpose of misleading others.

  • Use of space is strictly for work purpose only. Task Up does not constitute a place for sleep, replacement of personal housing, hostel, hotel and/or of similar activity.

 

5. Task Up reserves the right at all times to disclose any information about you, your participation in and use of the Services as Task Up deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Task Up sole discretion.

6. Approval of Events is subjected to Task Up’s sole discretion. The company reserves the right to coordinate, assign, host or co-host events on premise. The company has rights to topic of choice, relevance of subject and audience selection of upcoming events.

​

7. Approval of Guest(s) entry is subjected to Task Up’s sole discretion. The company reserves the right to permit or discontinue access of guest(s); interviewees, clients of active members. Members will be notified of prohibited guest entries. This rule is to protect the safety and soundness of existing members of the space. Any guest(s) carrying armed weapons and/or hazardous weapons and tools are prohibited except for approved workman or construction laborers. List of expected guest(s) must be submitted to community manager 24 hours prior to appointment. Limits of interviewees may be imposed to protect the interest and privacy of existing members. Each company is limited to 8 interviewees/client appointments per day. Any excess will be charged $10 per additional person.

8. Precautions and Fines is subjected to Task Up’s sole discretion. The company reserves the right to charge members, guests of members and/or responsible party of unforeseen damages and risks to others. Tampering of office structure, furniture and properties is prohibited (ie., lifting of glass door, moving of furniture without prior approval.) Fees cover extreme and visible damages, excludes normal wear and tear. See predetermined fee schedules below, all other fees subject to change based on market replacement and repair rate.

  • Glass Fee Schedule: Each glass panel, $1000 + labor to repair at invoiced rate. Each glass door, $1500 + labor to repair at invoiced rate.​

  • Office Table Schedule: Each office table top $200 if unrepairable or labor cost to repair if lower. Each office table leg $100 if unrepairable or labor cost to repair if lower.​

  • Office Chair Schedule: Each office table top $100 if unrepairable or labor cost to repair if lower.

9. Confidentiality.

  • You acknowledge and agree that during your participation in and use of the Services you may be exposed to Confidential Information. “Confidential Information” shall mean all information, in whole or in part, that is disclosed by Task Up or any participant or user of the Services or any employee, affiliate, or agent thereof, that is nonpublic, confidential or proprietary in nature. Confidential Information also includes, without limitation, information about business, sales, operations, know-how, trade secrets, technology, products, employees, customers, marketing plans, financial information, services, business affairs, any knowledge gained through examination or observation of or access to the facilities, computer systems and/or books and records of Task Up, any analyses, compilations, studies or other documents prepared by Task Up or otherwise derived in any manner from the Confidential Information and any information that you are obligated to keep confidential or know or has reason to know should be treated as confidential.

  • Your participation in and/or use of the Services obligates you to

  • maintain all Confidential Information in strict confidence;

  • not to disclose Confidential Information to any third parties;

  • not to use the Confidential Information in any way directly or indirectly detrimental to Task Up, or any participant or user of the Services.

  •  All Confidential Information remains the sole and exclusive property of Task Up or the respective disclosing party. You acknowledge and agree that nothing in this TOU or your participation or use of the Services will be construed as granting any rights to you, by license or otherwise, in or to any Confidential Information or any patent, copyright or other intellectual property or proprietary rights of Task Up, or any participant or user of the Services.​

10. Participation In or Use of Services. You acknowledge that you are participating in or using the Services at your own free will and decision. You acknowledge that Task Up does not have any liability with respect to your access, participation in, use of the Services, or any loss of information resulting from such participation or use.

​

11. Disclaimer of Warranties. To the maximum extent permitted by applicable law, Task Up provides the services “as is” and with all faults, and hereby disclaim with respect to the services all warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) warranties, duties or conditions of or related to: merchantability, fitness for a particular purpose, lack of viruses, accuracy or completeness of responses, results, workmanlike effort and lack of negligence. Also, there is no warranty, duty or condition of title, quiet enjoyment, quiet possession, correspondence to description or non-infringement. The entire risk as to the quality or arising out of participation in or the use of the services, remains with you.

12. Exclusion of Incidental, Consequential and Certain Other Damages. To the maximum extent permitted by applicable law, in no event shall Task Up or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly or individually be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for: loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), and any other pecuniary or other loss whatsoever) arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this agreement, even in the event of the fault, tort, strict liability, or breach of warranty of Task Up, and even if Task Up has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability, for consequential or incidental damages, the above limitation may not apply to you.

13. Limitation of Liability and Remedies. Notwithstanding any damages that you might incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages), the entire liability of Task Up or its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns under any provision of this TOU and your exclusive remedy for all of the foregoing shall be limited to actual damages incurred by you based on reasonable reliance up to fifty percent (50%) of property value, not exceeding two hundred dollars (USD $200.00). The foregoing limitations, exclusions and disclaimers (including sections 8 and 9 above) shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.

14. Termination. Task Up reserves the right to terminate any Service at any time. Task Up further reserves the right to terminate your participation in and use of any Services, immediately and without notice, if you fail to comply with the TOU. As a user, Task Up requires one month (1) notice for termination of agreement.

15. Indemnification. You release, and hereby agree to indemnify, defend and save harmless Task Up and Task Up’s subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of your negligent actions, errors and omissions, willful misconduct and fraud in connection with the participation in or use of the Services. You further agree in the event that you bring a claim or lawsuit in violation of this agreement, all claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the state of Pennsylvania. An award of arbitration may be confirmed in a court of competent jurisdiction.

16. Severability. In the event that any provision or portion of this TOU is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this TOU shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.

 

17. Insurance. Task Up will carry General Liability insurance. As a user, it is strongly suggested that you carry a Renters Insurance policy to cover your own equipment while using our space. That policy may cover your current office, as well as the premises of Task Up.

18. Acknowledgement. You agreed to  have read and understood all of the terms and conditions contained in this TOU and further agree to be bound to the TOU regarding my participation in and use of the Services.

Terms of Site

​

  1. Terms. Philly Office Share, LP dba Task Up (“we” or “us”) owns and operates the website at task-up.com (the “Site”), where you can find information about our products and services. These Website Terms and Conditions (the “Website Terms”) describe the rights and obligations of an unregistered website user or visitor (“user” or “you”) in connection with your use of the Site. By accessing or using the Site in any way, including as an unregistered website visitor, you agree to be bound by these Website Terms and our Privacy Policy, which is available on the Site. These Website Terms apply only to your use of the Site, and the content made available on or through the Site, as an unregistered website user or visitor. If you use or access any of our physical space, restricted-access web-based services (i.e. those requiring a login), the broker or referral program or other services we provide, your use of such space, services or program is subject to the terms and conditions you received or accepted when you signed up for such space, services or program. From time to time, we may make modifications, deletions, or additions to the Site or these Website Terms. Your continued use of the Site following any changes to the Website Terms constitutes acceptance of those changes.                                                                                                                     

  2. Eligibility. The Site and services it describes are available only to individuals who are at least 18 years old unless we specify otherwise. No one under this age may access or use the Site or provide any personal information through the Site.             

  3. Content. The text, images, videos, audio clips, software, and other content generated, provided, or otherwise made accessible on or through the Site (collectively, “Content”) are contributed by us and our licensors. The Content and the Site are protected by the U.S. and international copyright laws. We and our licensors retain all proprietary rights in the Site and the Content made available on or through the Site, and, except as expressly set forth in these Website Terms, no rights are granted to any Content. Subject to these Website Terms, we grant each user of the Site a worldwide, non-exclusive, non-sublicensable and non-transferable license to use (i.e., to download and display locally) Content solely for viewing, browsing and using the functionality of the Site. All Content is for general informational use only. We reserve the right, but do not have any obligation to monitor, remove, edit, modify or remove any Content, in our sole discretion, at any time for any reason or for no reason at all.                                                                                                                                   

  4. Disclaimer; Limitation of liability. To the extent permitted by law, we and our affiliates, parents, and successors and each of our and their employees, assignees, officers, agents and directors (collectively, the “Task Up Parties”) disclaim all warranties and terms, express or implied, with respect to the Site, Content or services (including third party services) on or accessible through the Site, including any warranties or terms of merchantability, fitness for a particular title, non-infringement and any implied warranties, or arising from course of dealing, course of performance or usage in trade. In no event shall the Task Up Parties be liable under contract, tort, strict liability, negligence or any other legal or equitable theory with respect to the Site for (a) any special, indirect, incidental, punitive, compensatory or consequential damages of any kind whatsoever (however arising) or (b) damages in excess of (in the aggregate) US$100.                                                                                                             

  5.  Miscellaneous. These Website Terms shall be governed by and construed in accordance with the laws of the State of Pennsylvania, excluding its conflicts of law rules, and the United States of America. These Website Terms constitute the entire agreement between us regarding the Site and supersedes and merges any prior understandings and contemporaneous communications. If any provision of these Website Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Website Terms shall otherwise remain in full force and effect and enforceable. In order for any waiver of compliance with these Website Terms to be binding, we must provide you with written notice of such waiver. The failure of either party to enforce its rights under these Website Terms at any time for any period will not be construed as a waiver of such rights.
